Wholesale Agreement
WHOLESALE AGREEMENT
This Wholesale Agreement (the "Agreement") is entered into between Creative Balloons Manufacturing, Inc., having its principal place of business at 200 Clocktower Place, Suite 201-A, Carmel, CA 93923, USA ("Creative Balloons Manufacturing," "we," "us," or "our") and the registered wholesale customer ("Customer," "you," or "your").
1. Wholesale Account Registration and Acceptance
By checking the designated box during the registration process to establish a wholesale account with Creative Balloons Manufacturing, you acknowledge that you have read, understood, and agree to comply with the terms and conditions set forth in this Agreement and our policies regarding email marketing/updates.
2. Authorized Distribution Channels
Creative Balloons Manufacturing strictly prohibits the sale or distribution of its products by approved wholesale distributors and retailers on the following e-commerce platforms:
- Amazon.com
- ETSY.com
- Ebay.com
- Walmart.com
3. Use of Copyrighted Images and Materials
The Customer is expressly prohibited from utilizing Creative Balloons' copyrighted images on any e-commerce website, social media, email newsletters, catalogs, and/or advertisements without prior written consent.
4. Product Returns
In the event of a product return for any reason, the Customer must contact Creative Balloons Manufacturing via email (sales@creativeballoonsmfg.com) within 5 business days from the receipt of the order. Returns are only allowable for defective products or incorrectly received orders (such as shipping errors).
5. Confidential Pricing and Information
Customers must honor the confidentiality of pricing and information about Creative Balloons Manufacturing's products, which are displayed on our private website and only viewable to approved accounts that are logged in.
6. Pricing Changes
Pricing is subject to change without advance notice.
7. Use and Distribution of Products
Approved customers are allowed to use and/or distribute Creative Balloons Manufacturing products; however, they must not intend to impersonate or create the impression that they are employed by Creative Balloons Manufacturing.
8. Compliance and Consequences of Breach
Failure to adhere to the terms outlined in this Agreement may result in immediate termination of your wholesale account with Creative Balloons Manufacturing. We reserve the right to pursue legal remedies available under the law for any breach of this Agreement.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
10. Entire Agreement
This Agreement constitutes the entire understanding between Creative Balloons Manufacturing and the Customer concerning the subject matter herein and supersedes all prior agreements, whether written or oral, relating to such subject matter.
11. Acceptance
By checking the box and proceeding with the registration process, you acknowledge that you have read and understood the terms of this Wholesale Agreement and agree to be bound by its terms and conditions.
